Representing domestic and international mining companies, our Firm has vast experience in mining sector deals and transactions, ranging from straight-forward traditional approaches to more innovative and complex structures.

Agreements:

We have prepared and negotiated mineral leases and agreements for access, surface use, finders’ fees, confidentiality, pilot projects, technology development and use, exploratory drilling, procurement, and feasibility studies.

Joint Ventures:

We have drafted and advised on potential structures for mining and technology development joint ventures for gold, uranium in situ, and molybdenum mines. We have represented both the funding/earn-in and the mining property contributing partners.

Acquisitions & Divestitures:

We continue to represent purchasers and sellers of mining properties in all stages of development. We have negotiated and drafted expressions of interest and letters of intent that typically establish the terms and conditions of the deal as well as definitive agreements.
